Every jurisdiction in the United States requires that a company maintain a Resident Agent to accept service of legal action on behalf of the LLC. Requirements for a resident agent include:

  • Must be physically located in the state where the company is incorporated.
  • Does not have to be an employee of the company, and preferably should not be.
Our Resident Agent Service appoints one of our subsidiaries as your client's resident agent. This service is available in all of our preferred jurisdictions.
States require that your company be renewed every year. Generally this involves filing registration documents and paying filing fees. The requirements and the filing fees vary from state to state. As a full-service provider, Apex Corporate Services will handle all annual registration requirements on your behalf. This includes filing documents properly and paying the fees to the state on your behalf, all in a timely manner. You will not need to concern yourself with annual registrations requirements in the US.

In addition to the initial incorporation documents and apostilles, most owners of American LLCs will occasionally need to obtain additional documents that are issued by the state or other domestic agencies. Common examples include copies of filed documents, Certificates of Good Standing, Certificates of Existence, and Certificates of Incumbency. An apostille is an internationally accepted form of document legalization.

As a non-American citizen owner of an LLC that conducts business internationally, your client will most likely need to attach apostilles to most documents generated in the US. At your request, we will initiate the appropriate documentation for an apostille for the country specified by your client.

Documents intended for a country where apostilles are not recognized will most likely need to be legalized by the embassy or consulate office of the country where the document is intended to be used.
